Software Licence

SMSRay is a product of Lacspace Corporation Pvt. Ltd. ("Lacspace", "we", "us" or "our"), a company registered in India (CIN U46511DL2025PTC079972, RoC-Delhi) and registered in Nepal (Reg. No. 377566/82/83, PAN 622468837).

This Software Licence explains the terms that apply to the SMSRay software: the SMSRay platform and API, the customer portal at app.smsray.com, the SMSRay admin tools, the website at smsray.com and the code samples published in the SMSRay docs.

Status: this is version v1.0 draft: pending legal review. Until a final version is published, the Terms of Service and your subscription remain the agreement that governs your use of SMSRay. If this licence and the Terms of Service conflict, the Terms of Service apply.

The SMSRay platform, the SMSRay API, the customer portal and the admin tools, including their software, interfaces, designs and documentation, are proprietary software owned by Lacspace.

Access to SMSRay is licensed, not sold. While your subscription is active and you comply with the Terms of Service, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use SMSRay for your own business messaging, within your plan and the limits of your account.

Unless the law expressly allows it despite this restriction, you must not:

• copy, modify or create derivative works of the SMSRay platform, portal or admin software;
• redistribute, sell, rent, lease, sublicense or otherwise make SMSRay available to a third party as a service of your own, except as your agreement with us allows;
• reverse engineer, decompile or disassemble any part of SMSRay, or try to discover its source code;
• bypass, disable or work around rate limits, usage caps, template approval, security controls or any other technical limit; or
• remove or change any proprietary notice, label or trademark.

Lacspace and its licensors keep all rights, title and interest in SMSRay, including all intellectual property rights, that this licence or the Terms of Service do not expressly grant to you.

Your messages, templates, contact data and other content stay yours. How we process them is covered by the Terms of Service, the Privacy Policy and the Data Processing Addendum.

If you send us feedback or suggestions, we may use them to improve SMSRay without any obligation to you.

The code samples and snippets published in the SMSRay docs and on the developer hub, such as the cURL, Node.js, Python and PHP examples, are licensed under the Lacspace Free Licence v1.0 ("LFL"). It is the same licence that all openly published Lacspace npm packages use.

The LFL is a free, permissive licence. It lets you use, copy, modify, merge, publish, distribute, sublicense and sell the code, for any purpose including commercial use, at no cost, as long as the copyright notice, the permission notice and the name of the licence stay with all copies or substantial portions of the code.

The LFL does not grant any right to use the Lacspace or SMSRay names, logos or trademarks, and the code is provided "as is", without warranty of any kind. The full text is in the canonical copy at github.com/lacspace/npm-packages/blob/main/LICENSE.

The LFL covers the sample code only. It does not license the SMSRay platform or API, which you can only use under section 2 and your subscription.

The SMSRay web apps are built with open-source components. Each component is licensed by its own authors under its own licence, and nothing in this Software Licence limits the rights those licences give you.

We list the open-source packages the SMSRay website depends on, with their versions and licences, on the third-party notices page. The list is generated automatically from the website's installed dependencies each time the site is built.

"SMSRay" and "Lacspace", and their logos, are trademarks of Lacspace Corporation Pvt. Ltd.

You may refer to SMSRay by name to describe truthfully that your product uses it. You may not use our names or logos in a way that suggests we sponsor or endorse you, or as part of your own product or company name, without our written permission.

Other names and marks mentioned on our websites belong to their respective owners.

We may update this Software Licence. When we do, we will change the version and the "Updated" date at the top of this page. The final version will replace this draft once legal review is complete.
